Terms and Conditions for AudioCue
1. Introduction
Welcome to AudioCue, a product by Barry’s Web Design (“the Company,” “we,” “us,” or “our”). By using AudioCue (“the Software”), you agree to be bound by these Terms and Conditions (“Agreement”). Please read this Agreement carefully. If you do not agree with these terms, you are not authorized to use the Software.
2. Definitions
•User: A person or entity who installs, accesses, or uses AudioCue.
•Subscription: The access model for the Software, including monthly, 6-monthly, or yearly subscription plans.
•Account: An account created by the User to access the Software, including all associated personal data.
•Software: The AudioCue application, any associated software, content, and services provided by AudioCue.
3. License Grant
The Company grants you a non-exclusive, non-transferable, and revocable license to use the Software under the terms of this Agreement. This license is for personal, non-commercial use only. You may not redistribute, sublicense, or transfer the Software to any third party without prior written consent from the Company.
4. Subscription Plans and Fees
AudioCue offers subscription options as follows:
•Monthly Subscription: Billed once a month, auto-renewable until canceled.
•6-Monthly Subscription: Billed once every six months, auto-renewable until canceled.
•Yearly Subscription: Billed once a year, auto-renewable until canceled.
By subscribing, you authorize the Company to charge your payment method for the applicable subscription fee. Payment is processed through third-party services like iTunes, and all payments are non-refundable except where required by law or at the Company’s discretion.
5. Account Creation and Management
To use the Software, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials, and for all activities that occur under your account.
You agree to provide accurate, current, and complete information during the registration process. If any of your information changes, you must update your account promptly.
6. Payment and Billing
By subscribing to AudioCue, you agree to pay the subscription fees associated with your selected plan. Subscription payments will be billed automatically at the start of each subscription period. You can manage or cancel your subscription at any time through the settings in the Software or via the payment platform (e.g., iTunes).
If a payment fails, your subscription will be paused until payment is successfully processed. If you do not resolve the issue within a reasonable time, your access to the Software may be terminated.
7. Use of the Software
You agree to use the Software only for lawful purposes and in accordance with these Terms. You may not:
•Use the Software to infringe the intellectual property rights of others.
•Use the Software in any way that could disable, overburden, or damage the functionality of the Software.
•Attempt to reverse-engineer, decompile, or modify the Software.
•Distribute, sell, or sublicense the Software without prior written consent from the Company.
•Engage in any conduct that violates applicable laws or regulations.
8. Termination of Account
We reserve the right to suspend or terminate your account or access to the Software at our sole discretion if you violate these Terms and Conditions. Upon termination, you must cease using the Software and destroy all copies in your possession.

By using AudioCue, you agree to the collection, use, and storage of your personal data as described in our Privacy Policy. We collect data to:

10. User-Generated Content
You are solely responsible for any content you upload, including audio files, lyrics, or other materials. You grant the Company a license to use, display, and store such content as necessary to provide the Software’s functionality.
You represent and warrant that you have all necessary rights to the content you upload, and that your use of the content does not infringe on the intellectual property rights of others.
11. Disclaimers and Limitation of Liability

The Software is provided “as is” without warranties of any kind, either express or implied. The Company does not guarantee that the Software will be error-free, secure, or available at all times.

This includes, without limitation, any claims arising from subscription fees, refunds, cancellations, or any other transactions, regardless of whether such claims arise from the Software, subscription process, or otherwise.
You agree to use the Software at your own risk, and the Company’s liability is strictly limited to the amount you paid for the Software or service in question. Under no circumstances will the Company be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or in any way related to the use or inability to use the Software.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Company operates. Any disputes related to this Agreement will be resolved in the courts of that jurisdiction.
